Background and Discussion:
The Harris County Public Facility Corporation ("HCPFC") was created by Commissioners Court on November 13, 2025, pursuant to Chapter 303 of the Texas Local Government Code for the purpose of incentivizing the creation and provision of affordable housing in line with the County’s Strategic Plan.

The HCPFC desires to amend its bylaws. As required by both the HCPFC bylaws and §303.038 of the Texas Local Government Code, all amendments need to be approved by Commissioners Court. The proposed bylaws are being submitted to Court at least 30 days advance of the HCPFC Board voting to approve the amendment.

The main substantive change to the bylaws is to create an automatic nomination rotation of Board Officer positions. Automatic nominations remain nominations only and must still be elected by a majority of the Board. Anyone nominated to serve as an Officer may refuse such nomination in the same manner as other nominations. There are also some minor clarifications and editing changes.

Commissioners Court could choose to not approve the bylaws, leaving the HCPFC with its current bylaws.
