Background and Discussion:

The October 29, 2024 Commissioners Court approved the execution of a Tolling Service Agreement (TSA) with the Texas Department of Transportation (TxDOT) for HCTRA to provide back-office tolling services for TxDOT toll roads.  On September 19, 2024 Commissioners Court approved the execution of a Stop Gap Agreement to include a Custodial Account Agreement for the implementation of the TSA (the Oct. 29, 2024 Commissioner Court approved an amendment and restatement of the Custodial Account Agreement to address administrative requirements associated with TxDOT toll beneficiaries).

As part of the terms of the TSA and as identified in the Custodial Account Agreement, a process was defined for TxDOT to identify Beneficiaries of their respective toll roads through the execution of a Joinder Agreement (approved template was included as an exhibit to the executed Custodial Account Agreement).  At the time the TSA and Custodial Account were executed in 2024, joinder agreements were executed with the respective beneficiaries of TxDOT existing toll roads.

TxDOT has provided notice of an additional beneficiary for their SH 288 Toll Lane Project.  This action is to ratify the execution of the Joinder Agreement associated with this TxDOT toll facility.  Approval is also requested to allow the Executive Director of HCTRA to execute future joinder agreements associated with identifying beneficiaries of any existing or future TxDOT toll facilities per TxDOT notice.

Expected Impact:

Approval of this action will allow HCTRA to continue to provide reliable back-office system support for tolling services and meet the terms of the approved TSA with TxDOT.

Alternative Options:

No other recommended solution for this identified need.
