title

Background and Discussion:

On July 18, 2023, Commissioners Court approved the Interlocal Agreement with CCRMA for interoperability and tolling services. As part of the approval, it was noted that future action would be necessary to finalize the interoperability and tolling services to be provided.  The September 19 2024, Commissioners Court approved the First Amendment of the agreement which finalized the services to be provided.

The proposed Second Amendment to the agreement modifies terms related background check procedures.  Under the amendment, CCRMA agrees to assume full responsibility for any risks, liabilities, or consequences arising from the decision to modify background check requirements and further agrees to indemnify, defend, and hold harmless HCTRA, its employees, and agents from any related claims, damages, or losses. All other terms and conditions of the original Agreement remain unchanged.

Expected Impact:

Approval of this amendment will provide clarification regarding the allocation of liability associated with modified background check procedures requested by CCRMA. The amendment protects Harris County and HCTRA from potential claims, damages, or losses resulting from such modifications while allowing continued support of tolling and interoperability services under the existing Interlocal Agreement. This action strengthens risk management practices and ensures responsibilities are clearly defined between the parties.
